Within the scope of acquisitions, we support funds in selecting the target companies on the basis of financial and tax due diligence.

In case of buying and selling companies, we design the required structures such as mergers, spin-outs and spin-offs, etc.

We will duly liquidate entities which are no longer required, regardless of their legal form.

Our ongoing support of funds includes compliance with all accounting regulations under commercial and tax law, as well as the performance of other important financial activities such as the administration and settlement of escrow accounts. In addition, we prepare all of the important analyses for investors within the scope of reporting (under the German Commercial Code and the IFRS) to evaluate the economic performance of a fund or of the companies acquired by a fund.

In this context, we assist and accompany the people involved and the executives in all relevant questions in the preparation of their tax returns. In particular, this involves advising clients in case of carried interest or in the treatment of other questions which may arise in this context.
